Terms of Service

Welcome to Criota, operated by Collectinn Pty Ltd (ABN pending) ("Criota", "we", "us", or "our"). By accessing or using Criota at criota.com and related services, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the platform.

1. About Criota

Criota is a two-sided marketplace that connects content creators ("Creators") with businesses ("Businesses") for influencer marketing collaborations. Criota facilitates campaign discovery, application management, check-in verification, content review, and payment processing. Criota is not a party to the underlying collaboration between Creators and Businesses.

2. Eligibility

You must be at least 18 years old to use Criota. By creating an account, you represent that you are of legal age and have the capacity to enter into a binding agreement.

3. Account Registration

To use Criota, you must create an account with a valid email address and verify it via a one-time code. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Social Account Linking: Creators must connect at least one social media account (Instagram or TikTok) with a Business or Creator account type. Personal accounts are not accepted. By connecting a social account, you authorise Criota to access your public profile information, follower counts, and content performance metrics in accordance with our Privacy Policy.

4. Identity Verification

Certain actions on Criota, including checking in at venues and receiving payments, require identity verification through our third-party provider (Stripe Identity). Verification involves submitting a government-issued photo ID and a matching selfie. This is required to prevent fraud, enforce accountability, and comply with payment regulations. If you fail verification, you may resubmit. Only one Criota account may be associated with a verified identity.

5. Campaign Types

Businesses create campaigns that fall into two modes:

  • Open Campaigns: Creators can indicate their intent to visit without prior approval. First-come, first-served basis.
  • Closed Campaigns: Creators submit an application which the Business reviews and approves, rejects, or counter-proposes.

6. Payment Types and Fees

Campaigns use one or more of the following payment models:

  • Contra (Store Credit): Creator receives a product or service credit at the venue (e.g. a complimentary meal). No cash payment is made. No platform fee applies. Where a Creator chooses items beyond the credit, the difference is charged to the Creator's card on file.
  • Performance-Based Payment: Cash pay calculated by Criota from the content's measured performance. It has three parts: a content floor that grows with the views and volume the Creator's posts bring venues, paid once per campaign; delivery pay on views; and a bonus on shares and saves. Further payments may follow while the content keeps performing. A 30% platform commission is deducted from every performance payment, including the content floor and any top-up.Every figure Criota shows a Creator before they apply is stated after that commission, with the amount before it beside, and every payment on the Creator's earnings page shows the gross amount, the commission and the amount received.
  • Content floor for new Creators: a content floor is paid once a Creator has an established record of scored posts on Criota. Until then a Creator's performance pay is the delivery pay and the shares-and-saves bonus only, and no floor is charged to the Business for them.
  • Boosts: a bonus a Business or Criota adds on top of performance pay reaches the Creator in full. No commission applies to a boost.

Payments to Creators are processed via Stripe Connect. Creators must complete Stripe onboarding to receive payouts. Standard Stripe processing times apply (typically 2 business days).

7. Subscription Plans

Criota offers optional subscription tiers for both Creators and Businesses:

Creator Plans:

  • Free: Unlimited campaigns in your city, every venue named; 1 licensed post running at once
  • Starter ($10/month): Everything in Free, plus campaigns across your state and 3 licensed posts running at once
  • Pro ($25/month): Everything in Starter, plus campaigns anywhere, 5 licensed posts running at once, and early access to campaigns likely to go viral
  • Any plan: extra licence slots at $5 a month each, prorated and billed with the plan

Business Plans:

  • Free: 10 creators per month, then $10 for each further 5
  • Growth ($49/month): 40 creators per month, then $20 for each further 10, and direct invites
  • Enterprise ($199/month): 60 creators per month across all venues, then $20 for each further 10; 1,000 featured views a month on the creator home screen, then $50 for each further 1,000; a view counts once a creator has had the banner on screen, once per creator per day; advanced performance-based filtering, multi-location support, staff logins, venue benchmarks and performance bonuses
  • A creator counts when they arrive at the venue. A pack is charged to the card on file when its first creator arrives.

Subscriptions are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

8. Check-In and Geolocation

Creators must check in at the venue to confirm their attendance. Check-in requires GPS-based geolocation verification; you must be within 100 metres of the venue location. By using the check-in feature, you consent to the collection of your precise location data at the time of check-in. This data is stored for verification and dispute resolution purposes. In the event of GPS issues, the Business may perform a manual check-in override, which is logged for audit purposes.

9. Content Submission and Review

After visiting a venue, Creators must submit their draft content within 7 days of the visit. Businesses review submitted content; if the Business does not respond within 24 hours, the content is automatically approved. Businesses may request up to 3 rounds of revisions. Once approved, the Creator must publish the content within 48 hours of approval. On a campaign that requires posts on two platforms, the second post is due within the campaign's second-platform window (7 days after the first post unless the campaign sets otherwise); a Creator may ask the Business to accept a single platform, and a decline, or letting the window lapse, raises a charge of half the package for human review. Failure to submit content after checking in may result in a "ghost" violation (see Trust and Safety below).

10. Content Licensing

Businesses may license Creator content to run as the Business's own paid advertising. Each platform's post is licensed separately, and a licence has no fixed price, term or exclusivity. The licence fee is a share of what the Business spends on Meta running that post as an advertisement, currently 10%, read from the Business's own ad account and charged to the Business weekly in arrears for the days already run; a week under $5 is carried into the next week; nothing is charged while the post is not running. Criota retains a 15% commission on the fee and pays the remainder to the Creator. Either party may end a licence at any time; the days already run are billed on ending. A licence ends if the Business disconnects its Meta ad account, since the spend can no longer be read. The number of licensed posts a Creator may have running at once is set by their subscription plan and any extra slots they pay for; a Business may license any number of posts. Licensed content usage is tracked via partnership ad codes. A licence starts when the Creator supplies the partnership authorisation for the content: the Creator's approval of the Business as a partner on Meta, or a partnership ad code the Creator supplies. Acceptance of an offer alone starts nothing and charges nothing. A Business that enables purchase measurement instructs Criota to send its till purchases, with customer identifiers hashed, to the Business's own Meta dataset; the Business is responsible for its customers' consent to that use. A Business may ask Criota to run licensed content as an advertisement in the Business's own Meta ad account. Criota creates and pauses that advertisement on the Business's instruction; Meta bills the Business directly for the advertising spend, which is not a Criota fee. An advertisement created through Criota is paused when the licence expires or is revoked.

11. Buddy Groups

Some campaigns allow or require Creators to visit as a group ("Buddy Group"). Buddy Groups are leaderless; any member may create, join, submit, or cancel a group.

Confirmation Checkpoints: Once a Buddy Group is confirmed, members must confirm their attendance at two checkpoints:

  • 24-hour checkpoint: Members who do not confirm are removed from the group. This is treated as a warning with no penalty recorded.
  • 2-hour checkpoint: Members who confirmed the 24-hour checkpoint but fail to confirm the 2-hour checkpoint are removed and receive a trust score penalty of -5.
  • Repeat offenders: 2 or more missed 2-hour checkpoints within 30 days results in a trust score penalty of -20 and a 30-day suspension from buddy campaigns. Solo campaigns are unaffected.

When a member is removed, the next Creator on the waitlist (if any) is automatically promoted to fill the spot.

12. Trust and Safety

Every Creator has a trust score (0-100) that reflects their reliability on the platform. The trust score is not visible to Creators but affects platform privileges and campaign eligibility. Violations that affect trust score include:

  • No-Show: Failing to attend a scheduled visit. First offence: -10 trust score. Escalates with repeated offences, up to account suspension.
  • Ghosting: Checking in at a venue but failing to submit content within the deadline. First offence: -20 trust score. Third offence: account suspension.
  • Contra Abuse: Consuming contra value (e.g. a meal) without delivering content. This is treated as the most serious violation and may result in immediate suspension, a contra debt equal to the full value consumed, and permanent platform ban upon confirmation.

Contra Debt

When a Creator violates the terms of a contra campaign (e.g. no-show or ghost after check-in), a contra debt equal to the value of the product or service received may be assigned to their account. Outstanding debts must be resolved within 30 days. Creators with unresolved debts are blocked from applying to new campaigns. Recovery options include direct payment or deduction from future earnings.

Account Suspension

Accounts may be temporarily or permanently suspended for repeated violations, fraud, harassment, or other serious misconduct. Suspended Creators may submit an appeal within 14 days. Appeals are reviewed within 5 business days. If reinstated, the account enters a 90-day probation period with reduced privileges. Any further violation during probation results in a permanent ban.

13. Disputes

Either party may file a dispute through the platform. The responding party has 3 days to respond. Disputes must be resolved within 14 days of filing. Either party may propose a settlement, which the other party has 3 days to accept, reject, or counter. If a dispute cannot be resolved through the platform, it will be handled in accordance with applicable law in New South Wales, Australia.

14. Enterprise Accounts

Agencies and talent management companies may create Enterprise accounts to manage a roster of Creators. Enterprise accounts can set per-creator commission rates (default 15%), arrange exclusive representation, and manage campaigns on behalf of their roster. Enterprise roster relationships are between the agency and Creator; Criota is not a party to agency-creator agreements.

15. Cancellation Policy

  • Creator cancellation: More than 48 hours before a scheduled visit: no penalty. 24-48 hours: warning. Less than 24 hours: trust score penalty (-10). After check-in: cannot cancel; must complete or face ghost penalty.
  • Business cancellation: Before the Creator visits: no penalty. After the Creator visits or after content is submitted: the Business must pay the agreed amount.

16. Intellectual Property

Creators retain full ownership of all content they create. By submitting content through Criota, Creators grant Criota a limited, non-exclusive licence to display the content on the platform for campaign management purposes. Separate content licensing agreements between Creators and Businesses are governed by the terms of those individual licences (see Section 10).

17. Prohibited Conduct

You agree not to:

  • Create multiple accounts or use another person's account
  • Provide false or misleading information
  • Engage in fake engagement, bot activity, or metric manipulation
  • Harass, threaten, or abuse other users
  • Circumvent check-in geolocation verification
  • Consume contra value without delivering agreed content
  • Use the platform for any unlawful purpose

18. Limitation of Liability

Criota provides the platform on an "as is" basis. We do not guarantee the quality, reliability, or performance of any Creator or Business on the platform. To the maximum extent permitted by law, Criota is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including loss of revenue, content, or business opportunities. Our total liability to you for any claim shall not exceed the amount you paid to Criota in the 12 months preceding the claim.

19. Indemnification

You agree to indemnify and hold harmless Criota, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

20. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

21. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
